Shareholding structure

On June 30, 2016, Sanofi’s share capital was split into 1,287,105,713 shares with a par value of 2 euros.

Except for shares held by the Company and registered shareholders, we have to conduct special surveys to know our shareholding structure.

By shareholder type as of June 30, 2016

Shares (in %)

Voting rights (in %)

Shareholding structure per voting rights (in %)

Number of shares outstanding: 1,287,105,713
Number of real voting rights: 1,430,725,106

The difference between the percentage of shares and the percentage of voting rights is due to the existence of double voting rights and the fact that Sanofi and certain subsidiaries hold shares as treasury shares that don’t have voting rights.
