Definitions beginning with the letter G

 

General Meeting

Meeting of the shareholders of a company, held at least once a year. There are three types of general meetings:

  • Ordinary General Meeting (OGM), held no more than six months after the end of the company’s financial year. At the OGM, the company’s management accounts for its stewardship of the company, giving a presentation of the business performance and financial results for the year. The shareholders vote on the approval of the financial statements, the amount of dividend, and any appointments of directors.
  • Extraordinary General Meeting (EGM), which may be called at any time. At an EGM, the shareholders vote on decisions requiring changes to the bylaws.
  • Combined General Meeting (CGM), a combined OGM and EGM held on the same date.
