The sanofi-aventis Combined General Meeting was held on April 17, 2009 at the Palais des Congrès in Paris.

Presentations by Jean-François Dehecq, Chairman of the Board of Directors, Gérard Van Kemmel, Chairman of the Compensation Committee, Chris Viehbacher, CEO and Jérôme Contamine, Executive VP and CFO were followed by a Q&A session and voting on the resolutions.
 

Voting results

During the session, the General Meeting approved all the resolutions.

Shareholders notably adopted the individual company financial statements and the consolidated financial statements for the year ended December 31, 2008 and decided to distribute a dividend of €2.20 per share, a 6.3% increase over the previous year. The dividend went ex-coupon on Euronext Paris on April 23, 2009 and was payed out on April 28, 2009. For American Depositary Shares (ADSs), the Depositary's distribution date to holders is targeted for May 29, 2009.

They also ratified Christopher Viehbachers’ cooptation as a Director.
